1. Introduction

1.1 Overview of MVPz and Purpose of Terms

Welcome to MVPz, a revolutionary platform operated by Arenaz LLC. MVPz connects athletes and fans by providing innovative tools for interaction, digital sports card trading, tipping, and exclusive content access. These Terms and Conditions (the "Terms") govern your access to and use of the platform, and establish the agreement between you ("User") and Arenaz LLC ("MVPz," "we," "us," or "our").

Your participation in MVPz is governed not only by these Terms but also by applicable laws, platform guidelines, and user policies, all designed to maintain a safe and equitable digital environment.

1.2 Acceptance of Terms

By registering, accessing, or using the MVPz platform, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you are prohibited from using the platform and its services. Continued use of MVPz after changes or updates to these Terms constitutes acceptance of the revised Terms.

1.3 Updates and Modifications

We may update or modify these Terms periodically to reflect operational adjustments, regulatory requirements, or platform enhancements. Changes to the Terms will be communicated through email, in-app notifications, or other appropriate channels.

If you do not agree with the updated Terms, you may terminate your account before the changes take effect. Users who continue using MVPz after updates to the Terms have been communicated are deemed to have accepted the revisions.

2. Definitions

This section provides definitions for key terms referenced throughout these Terms to ensure clarity and understanding.

2.1 User

Any individual or entity that accesses, registers for, or engages with the MVPz platform, including but not limited to athletes, fans, and content creators.

2.2 Athlete

A User designated as a collegiate or professional athlete who participates in platform-exclusive activities, including creating digital sports cards, engaging with fans, and accessing revenue-sharing features.

2.3 Sports Card

A digital collectible associated with an athlete's name, image, and likeness (NIL), available for purchase, trade, and collection on the MVPz platform. Sports cards also include "Non-Athlete Sports Cards," which mimic the functionality of athlete cards but do not feature NIL attributes.

2.4 Content

Any media or material, including text, images, audio, or video, that is created, uploaded, or shared by Users or MVPz on the platform.

2.5 Referral

The process by which a User introduces others to the MVPz platform, using unique referral codes, links, or QR codes to track participation and reward the referring User.

2.6 Marketplace Transaction

A transaction conducted between two Users within the MVPz platform, such as the purchase or trade of digital sports cards or other platform-permitted items.

2.7 Subscription

A recurring payment initiated by a User to gain access to exclusive content or services provided by athletes or MVPz on the platform.

Season Pass and free collectibles. Each paid year of a Season Pass includes the free collectibles shown at purchase (2 today), each up to the value stated at purchase. A free collectible covers the card only: shipping is paid by the customer, unless the customer picks the card up at a club address, which is free. A pricier option pays the difference. Free collectibles can only be used for the holder's own cards and the cards of their under-18 kids. They have no cash value, are not transferable and expire at the end of the paid year; a renewal gives new ones.

We make the card for you. Where this option is offered, the customer pays the pass price up front and uploads a photo and the athlete's details, and MVPz prepares the collectible. Within about 24 to 48 hours MVPz emails the parent or guardian with a link to the athlete's profile and its access code. Until MVPz completes the request, the customer can edit the details and pay again; once MVPz completes the request, edits are closed. One free collectible is included with the pass. Shipping is extra, or free if the customer picks it up at a club address.

Payments and auto-renewal. All payments are final and non-refundable, except when a customer sends a request from their account and MVPz approves it. You can turn off auto-renewal at any time; access continues until the end of the paid period.

2.8 Platform Fee

A fee retained by MVPz for facilitating specific transactions, such as tipping, subscriptions, and secondary marketplace sales, as outlined in Section 5: Payment and Transactions.

2.9 Explicit Content

Content prohibited on MVPz, including but not limited to material promoting gambling, hate speech, violence, or illegal activities, as further detailed in Section 8: Prohibited Activities.

2.10 Inactive Account

An account that has remained unused or unaccessed for a period of time, as defined in Section 3: User Accounts.

2.11 Data Collection and Usage (Meta Integration)

MVPz collects limited information (name, email address, and profile picture) from Meta accounts solely to create a User profile. This data is not shared with third parties and is handled in compliance with Meta's Platform Terms for apps and integrations.

3. User Accounts

3.1 Eligibility

3.1.1 To create an account on MVPz, you must meet the following criteria:

Be at least 18 years old or the age of majority in your jurisdiction.
If under 18, have explicit permission from a parent or legal guardian to use the platform.
Agree to comply with all applicable laws, regulations, and MVPz's policies.

3.1.2 Athletes must provide documentation or proof of their eligibility to verify their status. This may include verification through third-party platforms (e.g., Meta accounts) and manual validation as required.

3.2 Account Responsibilities

3.2.1 Account Security: Users are responsible for maintaining the confidentiality of their account credentials and for any activity conducted through their account.

3.2.2 Accuracy of Information:

Users must ensure that the information provided during registration and on their profile remains accurate and up-to-date, including personal, financial, and contact details.
Athletes are required to promptly update their account details if their school, team affiliation, or professional status changes.

3.2.3 Meta Account Usage: Meta accounts may be used for initial athlete verification only. Following this step, athletes must log in using their registered email address. If an athlete cannot use a Meta account for any reason, they will be placed on a manual verification waitlist.

3.3 Account Suspension and Termination

3.3.1 MVPz reserves the right to suspend or terminate accounts for reasons including but not limited to:

Violations of these Terms.
Suspected fraudulent activities.
Extended periods of inactivity as defined in Section 3.4.

3.3.2 In cases of termination due to a violation, Users may lose access to platform assets, including digital sports cards and any associated earnings.

3.3.3 Users whose accounts are suspended or terminated will be notified via email with the reason for the action and information about appeal procedures where applicable.

3.4 Inactive Accounts

3.4.1 Accounts will be classified as inactive if no login or transaction occurs for a period of 12 months.

3.4.2 MVPz will notify Users of impending inactivity status through email and in-app notifications.

3.4.3 Inactive accounts may be subject to:

Suspension of access to platform features.
Forfeiture of unclaimed funds after 12 months, following monthly notices.

3.5 Data Retention

3.5.1 MVPz retains user data in compliance with applicable privacy laws.

3.5.2 Users may request account data deletion; however, certain transactional or regulatory data may be retained by MVPz as required by law.

3.6 Device Permissions

3.6.1 The MVPz app requires device permissions to enable key features. Users will be prompted to grant the following permissions during installation:

Photos, Camera, Audio, and Video Access: To allow content creation and sharing.
Location Access: To optimize platform functionality and understand user activity patterns.

3.6.2 Users can manage their device permissions at any time through their device's settings.

4. Account Deletion and Data Removal

Users may request the deletion of their MVPz account and associated data at any time by submitting a request through their account settings or by contacting MVPz support at team@mvpz.io.

4.1 Processing Timeframe

Upon receiving a deletion request, MVPz will process the request within 30 days, during which access to the account will be restricted.

4.2 Data Retention Exceptions

Certain data may be retained for a limited period beyond account deletion in the following cases:

To comply with legal obligations (e.g., tax, fraud prevention, regulatory compliance).
To resolve disputes or enforce platform policies.
To retain anonymized contributions, such as public comments or marketplace transaction records, where applicable.

4.3 Effect of Deletion

Users will lose access to their sports cards, earnings, and any other digital assets stored on the platform unless they have taken action to transfer them.
Any remaining balance in the user's account may not be recoverable after deletion.
Content that has been shared with other users may continue to exist in the platform ecosystem (e.g., reposted content, quoted comments).

By submitting a deletion request, users acknowledge and accept these conditions.

5. Payment and Transactions

5.1 Revenue Share and Payment Processing

5.1.1 MVPz facilitates revenue-sharing mechanisms, structured as follows:

New User Referrals: Referring Users earn 5% of the referred User's expenditures and 2.5% of the referred User's earnings.
Item Referrals: Referring Users earn 2.5% of the item's price at the time of sale.
Secondary Sales/Trades of Sports Cards: 7.5% of the transaction value is awarded to the featured athlete, and MVPz collects a 2.5% platform fee.

5.1.2 All payments are processed securely through third-party payment providers, and Users agree to comply with the provider's terms.

5.2 Platform Fees

5.2.1 MVPz retains platform fees for facilitating tipping, subscriptions, and other transactions:

Tipping: Standard 10% fee applies for tips of $5 and over, which shall cover the transaction fees of the third party payment processor. Tips under $5 shall only be subject to the transaction fees of the third party payment processor.
Subscriptions: Up to 10% of the subscription amount.

5.2.2 Platform fees are automatically deducted at the time of the transaction and are non-refundable.

5.3 Third-Party Payment Providers

5.3.1 MVPz works with third-party payment providers to process transactions. Users must establish and maintain an active account with these providers to receive payments.

5.3.2 MVPz is not liable for payment delays or failures caused by the User's inability to maintain their payment provider account.

5.3.3 Payments unclaimed within 12 months will be forfeited. MVPz will send monthly notices encouraging Users to claim unclaimed funds before forfeiture.

5.4 Payment Disputes

5.4.1 Users must report disputes related to payments within 30 days of the transaction date.

5.4.2 MVPz will investigate disputes and may offer resolutions such as refunds, transaction reversals, or adjustments, at its sole discretion.

6. Content and Intellectual Property

6.1 User Content Ownership and Rights

6.1.1 Users retain ownership of all content they create and upload to the MVPz platform, including but not limited to text, images, videos, and audio ("Content").

6.1.2 Athletes retain exclusive ownership of their name, image, and likeness (NIL) and any content directly tied to their NIL. MVPz does not claim ownership of such content.

6.1.3 Non-athlete users retain ownership of all content they upload but grant MVPz specific usage rights as outlined in Section 6.2.

6.2 MVPz's Use of User Content

6.2.1 By uploading content to the MVPz platform, Users grant MVPz a non-exclusive, worldwide, royalty-free license to:

Use, display, reproduce, and distribute the content for operational purposes.
Promote MVPz on the platform and through external channels for marketing purposes, unless the content contains NIL elements.

6.2.2 Athlete-Specific Content Usage: For content created by athletes that includes their NIL, MVPz usage rights are restricted to in-platform activities and promotion. This content will not be used in external advertising or marketing without explicit consent from the athlete.

6.2.3 Other User-Generated Content: Non-athlete content may be used by MVPz for both internal and external promotional purposes, provided it does not infringe on the NIL rights of athletes.

6.2.4 MVPz may modify or adapt user content as needed for technical requirements, compatibility, or format adjustments.

6.3 Restrictions on Content Usage

6.3.1 Users may not upload, post, or share content that:

Violates applicable laws or regulations.
Infringes on the intellectual property or privacy rights of MVPz, athletes, other users, or third parties.

6.4 User Responsibility for Content

6.4.1 Users are solely responsible for the content they upload to the platform. MVPz is not liable for unauthorized use or misuse of user content by third parties.

6.4.2 If a user misuses an athlete's NIL-related content off-platform, MVPz will not be held liable for any associated claims or disputes.

6.5 Content Removal and Reporting

6.5.1 MVPz reserves the right to remove or restrict access to content that violates these Terms, applicable laws, or platform policies.

6.5.2 Users may report inappropriate or infringing content using MVPz's reporting tools. Reported content will be reviewed in accordance with Section 8.2 Content Moderation Process.

6.6 YouTube Content

6.6.1 Some videos on the MVPz platform are hosted on YouTube and played through the embedded YouTube player using YouTube API Services. By watching these videos, you agree to be bound by the YouTube Terms of Service. Google's use of your data is described in the Google Privacy Policy, and MVPz's use is described in our Privacy Policy.

7. Marketplace Rules

7.1 Card Trading Policies

7.1.1 Users may buy, sell, and trade sports cards within the MVPz marketplace.

7.1.2 Athletes earn 7.5% of revenue from all secondary sales of their sports cards. MVPz collects a 2.5% platform fee for facilitating such transactions.

7.1.3 All sales and trades are final, except in cases of fraudulent activity or misrepresentation, as determined by MVPz.

7.2 Transaction Guidelines

7.2.1 All marketplace transactions must occur through MVPz's infrastructure. Off-platform transactions are prohibited and may result in account suspension or termination.

7.2.2 Users must provide accurate and truthful descriptions when listing sports cards for sale or trade.

7.2.3 MVPz is not a direct party to transactions between users and is not responsible for inaccuracies or disputes arising from user-to-user transactions, except as outlined in Section 7.3.

7.3 Dispute Resolution

7.3.1 Users may report disputes arising from marketplace transactions through MVPz's support system.

7.3.2 MVPz will investigate disputes and may take corrective action, including but not limited to:

Reversing the transaction.
Suspending or terminating accounts of offending parties.

7.3.3 MVPz reserves the right to mediate disputes at its sole discretion. Users acknowledge that MVPz's decision in such matters is final and binding.

8. Prohibited Activities

8.1 Restricted Behaviors

Users are prohibited from engaging in the following activities while using the MVPz platform:

8.1.1 Content Violations

Posting or sharing content that is harmful, defamatory, obscene, threatening, harassing, or otherwise inappropriate.
Promoting or disseminating explicit content, including but not limited to sexually explicit material, hate speech, or discriminatory content.
Promoting or facilitating gambling unless explicitly approved under applicable laws.

8.1.2 Platform Misuse

Using automated tools, bots, or scripts to interact with the platform in ways that disrupt normal usage.
Circumventing platform features, security measures, or restrictions.
Impersonating another user, athlete, or entity or misrepresenting affiliations with MVPz.

8.1.3 Fraudulent and Deceptive Practices

Creating false accounts, profiles, or listings.
Manipulating marketplace transactions through fraudulent bidding, price inflation, or other deceptive tactics.
Engaging in phishing, misrepresentation, or other activities that constitute fraud.

8.1.4 Unlawful Activities

Violating any local, state, or federal laws while using the platform.
Promoting illegal goods, substances, or services.

8.1.5 Intellectual Property Infringement

Using, reproducing, or distributing content that infringes on the intellectual property rights of MVPz, athletes, or third parties.

8.2 Content Moderation Process

8.2.1 Reporting Mechanisms: Users may report content that they believe violates these Terms by using the in-app reporting tools provided.

8.2.2 Temporary Removal of Content: Once flagged, the content will be temporarily removed from public view while under review by MVPz moderators.

8.2.3 Content Review:

Content will be reviewed within ten (10) working days of being flagged.
If the content violates these Terms, it will be permanently removed, and the user responsible will be notified of the action via email and in-app notification.

8.2.4 Appeals Process:

Users may contest the removal of their content by responding to the notification email within five (5) working days.
MVPz moderators will reassess the appeal and issue a final decision.

8.2.5 Consequences for Violations: Depending on the severity of the violation, MVPz may take one or more of the following actions:

Issue a warning to the user.
Suspend the user's account temporarily.
Permanently ban the user's account.
Pursue legal action in cases of extreme abuse or unlawful activity.

9. Disclaimers and Limitation of Liability

9.1 General Disclaimers

9.1.1 MVPz provides its platform and services on an "as-is" and "as-available" basis. No warranties, express or implied, are made regarding the platform's reliability, performance, or suitability for specific purposes.

9.1.2 MVPz disclaims all responsibility for interruptions, errors, or inaccuracies that occur while using the platform.

9.2 Loss of Value in Transactions

9.2.1 MVPz is not liable for any loss in value of digital assets, including sports cards, due to market fluctuations, demand changes, or user transactions.

9.2.2 Users acknowledge that the value of assets is determined by market forces and may fluctuate significantly.

9.2.3 MVPz does not guarantee the resale value or appreciation of any digital assets purchased on the platform.

9.3 Limitations of Liability

9.3.1 To the fullest extent permitted by law, MVPz and its affiliates, officers, directors, employees, and agents shall not be liable for:

Indirect, incidental, special, or consequential damages.
Loss of data, revenue, or profits resulting from platform usage.
Unauthorized access to accounts or user data breaches.

9.3.2 MVPz's total liability for any claims shall not exceed:

The total fees paid by the user to MVPz in the six (6) months preceding the claim.
$100 USD, whichever is greater.

9.4 Indemnification

Users agree to indemnify and hold harmless MVPz, its affiliates, and its representatives from any claims, liabilities, or damages arising from:

Violations of these Terms.
Unauthorized use of the platform.
Breaches of applicable laws.

10. Future Changes to Terms

10.1 Notification of Changes

10.1.1 MVPz reserves the right to update, amend, or modify these Terms at its sole discretion to reflect changes in operations, legal requirements, or platform functionality.

10.1.2 Any significant changes to these Terms will be communicated to users via:

Email notifications.
In-app announcements.
Updates posted on the MVPz platform.

10.1.3 Users are encouraged to review the updated Terms regularly to remain informed about their rights and obligations.

10.2 User Rights Following Changes

10.2.1 Users who do not agree to the updated Terms may terminate their account by contacting MVPz support before the changes take effect.

10.2.2 Continued use of the MVPz platform after changes to the Terms have been communicated constitutes acceptance of the revised Terms.

10.2.3 In the event of account termination, users are responsible for transferring any assets, such as digital sports cards, to an external format where such functionality is available.

11. Governing Law and Dispute Resolution

11.1 Applicable Law

11.1.1 These Terms and any disputes arising out of or in connection with the use of the MVPz platform shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

11.2 Dispute Resolution Process

11.2.1 Informal Resolution:

Users must first attempt to resolve disputes informally by contacting MVPz customer support.
MVPz will endeavor to resolve disputes within thirty (30) days of receiving a formal complaint.

11.2.2 Binding Arbitration:

If informal resolution fails, disputes shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
Arbitration shall be conducted in English and take place in Delaware, United States.

11.2.3 Costs of Arbitration:

Each party shall bear its own costs and expenses associated with arbitration, including legal representation.
Arbitration fees and costs shall be split equally between the parties unless the arbitrator determines otherwise.

11.2.4 Class Action Waiver:

Users waive the right to participate in class actions or other representative proceedings against MVPz.

11.3 Exceptions to Arbitration

11.3.1 Claims seeking injunctive relief or related to intellectual property rights may be brought directly in a court of competent jurisdiction located in Delaware, United States.

11.4 Severability

11.4.1 If any part of this section is found to be invalid or unenforceable, the remainder shall remain in full force and effect.
